General Terms and Conditions
1. General Provisions
These terms and conditions exclusively apply to all existing and future legal transactions between the company docutext, Spalentorweg 6, CH-4051 Basel (hereinafter referred to as “docutext”), and the client.
2. Scope
These general terms and conditions apply to all services provided by docutext.
3. Conclusion of Contract
Docutext provides the client with an offer for the preparation of a translation based on the information and data provided by the client.
The translation contract between the client and docutext is concluded upon the acceptance of the offer under the terms specified in the offer. The contract may be validly concluded orally or in writing. Typically, clients accept written offers. To simplify cooperation, telephone or other informal orders are also accepted.
Docutext reserves the right to decline client orders.
4. Scope of Services
Translations
Docutext delivers translations by the agreed deadlines. Docutext undertakes to translatethe provided text accurately and professionally into the agreed language(s) and ensures that the translation is completed without omissions, additions, or other content changes. Translations are carried out either literally or contextually, in accordance with generally accepted quality standards for the respective language region.
Docutext may engage suitable and qualified third parties to perform the translation. The contractual partner of the client remains exclusively docutext.
Interpreting
The interpreter facilitates communication between two parties speaking different languages. Speakers must pause to allow the interpreter time to convey the content of the discussion. Travel expenses for the interpreter to the performance location are borne by the client, who agrees to reimburse these upon receipt of the corresponding invoices.
5. Deadlines and Delivery Times
Deadlines and delivery times are binding only if expressly confirmed in writing by docutext.
The agreed delivery date becomes invalid if the client is unavailable by telephone, email, or online during the project duration for necessary clarifications.
6. Payment Terms and Invoicing
Translations must be paid for in advance by both individuals and legal entities. Prices are quoted in Swiss Francs unless another currency is explicitly agreed upon.
Shipping costs, postage, and other incidental expenses are not charged to the client unless incurred by the client or are beyond normal limits. All additional costs arising from special client requests, including courier services, cash on delivery, or registered mail, will be charged to the client.
7. Acceptance and Notification of Defects
The work delivered by docutext is considered accepted unless the client notifies docutext in writing of identified defects within 10 days of delivery, providing specific and detailed reasons for the complaint. The client must specify the exact nature and scope of the alleged deficiencies.
8. Complaints and Warranty
The warranty is limited to the rectification of defects. Other warranty claims are expressly excluded. The timeframe for rectifying defects is 60 days.
9. Confidentiality, Data Protection, and Liability
Data and information provided by the client are treated with strict confidentiality.
Docutext places great importance on data protection and complies with applicable data protection laws. For more information, please refer to the Privacy Policy.
The client releases docutext from any liability for damages resulting from hacker attacks, unauthorized data access, or IT system failures.
10. Final Provisions
Contracts based on these terms and conditions are governed exclusively by Swiss law.
The place of performance and jurisdiction is Basel.
Invalid or void provisions shall be replaced by relevant legal provisions and do not affect the validity of the remaining terms. The same applies to any contractual gaps.
